4. User Responsibilities

When using our Service, you agree to:

• Fees are quoted in Thai Baht (฿)
• Payment is typically required before service commencement or at agreed milestones
• Accepted payment methods include bank transfer and other methods as agreed
• Late payments may incur interest charges as permitted by Thai law

8. Refund and Cancellation Policy

Refund eligibility depends on the service type and stage of engagement:

• Awareness Programs: Full refund if cancelled more than 14 days before start date; 50% refund if cancelled 7-14 days before; no refund if cancelled less than 7 days before
• Platform Implementations: Refunds determined based on work completed and deliverables provided, as detailed in service agreement
• Board Roadmaps: 50% refund if cancelled before discovery interviews commence; no refund after work begins

All refund requests must be submitted in writing to [email protected] and will be processed within 30 days.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, quoralliisvs disclaims all warranties, including:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranties arising from course of dealing or usage of trade
• Warranties that the Service will be uninterrupted, error-free, or free of harmful components

No Guarantee of Results: While we employ validated methodologies, we cannot guarantee specific business outcomes or performance improvements. Results depend on numerous factors beyond our control, including organizational execution and market conditions.

10. Limitation of Liability

To the maximum extent permitted by Thai law, quoralliisvs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of third parties on the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Implementation decisions made based on our recommendations

Our total liability for all claims arising from or related to the Service shall not exceed the amount you paid to quoralliisvs for services in the six months preceding the claim, or ฿50,000, whichever is less.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless quoralliisvs and its officers, directors, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Thailand, without regard to its conflict of law provisions.

Any disputes arising from these Terms or use of the Service shall be subject to the exclusive jurisdiction of the courts located in Chiang Mai, Thailand.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Dispute Resolution

In the event of any dispute, claim, or controversy arising from these Terms or the Service, the parties agree to first attempt resolution through good faith negotiation for a period of 30 days.

If negotiation does not resolve the dispute, the parties may pursue mediation through a mutually agreed mediator before initiating formal legal proceedings.

Nothing in this section shall prevent either party from seeking injunctive relief or other equitable remedies when necessary to protect intellectual property or confidential information.

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify you via email or prominent notice on our website
• Provide reasonable time for you to review the changes before they take effect

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

Changes to these Terms do not affect rights and obligations arising from agreements executed before the effective date of the changes.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and quoralliisvs regarding use of the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including natural disasters, war, government action, or pandemic.
